Terms for the implementation check

These terms apply to the free implementation check offered by innobu GmbH, Heidewinkel 1, 24955 Harrislee, Germany ("innobu"), and to any implementation map produced from it on request. The offer is aimed exclusively at businesses within the meaning of § 14 BGB, legal entities under public law and special funds under public law, not at consumers. Other terms apply only if innobu agrees to them in text form.

• A call of about 30 minutes, by video or phone.
• Its subject is implementation: the processes, systems and data affected, the effort and the order of the projects.
• It is based on what you tell us in the call and on the general classification in the deadline calendar as of its stated date.
• The result is a verbal assessment. On request, innobu summarises it in a one-page implementation map (section 4).
• The check is free and non-binding. Neither you nor innobu commits to any further engagement.

• It is not a legal service within the meaning of the German Legal Services Act (RDG) and not legal advice. innobu doesn't assess whether a statutory obligation, threshold or exemption applies to your company. innobu takes that applicability as your premise, for example as assessed by your legal department or counsel.
• It is not tax advice, not an audit and not an expert opinion.
• It makes no promise of any outcome towards authorities such as the Federal Network Agency or the BSI.
• Legal questions that come up in the call are noted as open points. You settle them with your legal department or with a law firm of your choice that you instruct yourself. innobu doesn't instruct a law firm on your behalf and receives no payment for recommendations.

The implementation map is one page listing your market roles, the next deadlines, the systems typically affected, the bottlenecks and a recommended order. It is based on your information and on the deadline calendar as of the stated date, and it states its assumptions at the top. It classifies the implementation, it isn't legal advice, and it doesn't replace your own deadline review.

You may share the map within your company and with your advisers. Publishing it requires innobu's consent in text form.

The implementation check and the implementation map are provided free of charge ahead of a possible collaboration. No consulting or information contract is created by them. A collaboration begins only with a written offer from innobu and its acceptance.

Because the implementation check and the implementation map are free of charge, innobu is liable, in line with §§ 521 and 599 BGB, only for intent and gross negligence. Liability for injury to life, body or health, under the German Product Liability Act and for fraudulently concealed defects remains unaffected.

innobu treats everything you share in the implementation check about your company, systems and projects as confidential and uses it only for the check and the implementation map. innobu won't name your company as a reference or publish anything from the call, not even anonymised, without your consent in text form. On request, innobu signs a non-disclosure agreement before the call.

If you plan a procurement procedure for a project discussed in the call, please tell innobu at the start. The implementation check isn't meant to prepare tender documents. If innobu is to contribute to them, both sides clarify this beforehand so that the rules for previously involved companies (§ 7 VgV, § 7 SektVO) can be met.

innobu processes the data from your enquiry and the call in order to prepare and hold the check and to produce the implementation map. Details are in the privacy policy.

German law applies. The place of jurisdiction for merchants, legal entities under public law and special funds under public law is Flensburg, Germany. Text form, for example an email, is sufficient for declarations.
